Terms of Service

Welcome to Talkwcarina. These Terms of Service ("Terms") govern access to and use of the Talkwcarina platform, operated by BuenOps ("we", "us", "platform"). By creating an account or using Talkwcarina, you ("user", "student") fully agree to these Terms, the Privacy Policy, and applicable Brazilian law — notably the Civil Code (Law 10.406/2002), the Consumer Protection Code (Law 8.078/1990, "CDC"), and the Marco Civil da Internet (Law 12.965/2014). If you do not agree with any provision of these Terms, do not use the platform. The Portuguese-language version of these Terms is the binding version in case of any conflict.

1. Acceptance of terms

By clicking "Create account", "I accept the Terms", or an equivalent action, or by using any Talkwcarina feature, you declare that you have read, understood, and accepted these Terms and our Privacy Policy.

You also declare that you have full legal capacity to contract (Art. 5 of the Brazilian Civil Code) and are at least 18 years old. If acting on behalf of a legal entity, you declare you have authority to bind it to this contract.

2. Service description

Talkwcarina is an online platform of recorded English-language video lessons for Brazilian adults who want to learn and practice at their own pace. The platform is operated by BuenOps, CNPJ 64.923.100/0001-72, headquartered at Av. Nova Independência, 651, Brooklin Paulista, São Paulo/SP, CEP 04.570-001.

The subscription model grants continuous access to the video lesson catalog, supporting materials, and progress-tracking features. New lessons may be added, revised, or removed at the platform's discretion.

Talkwcarina does not guarantee learning outcomes — progress depends on each student's engagement.

3. Registration and account

To use the platform you must create an account by providing name, a valid email, and password, or by authenticating via Google. Requirements:

  • Be at least 18 years old;
  • Provide true, current, and complete information;
  • Keep your account data up to date;
  • Create a strong password and keep it confidential;
  • Not share credentials or allow third parties to use the account.

You are solely responsible for actions taken with your credentials. If you suspect unauthorized access, change your password immediately and notify us at contact@buenops.net.

We may request additional information to verify the account holder's identity in situations such as account recovery, chargeback, or suspected fraud.

4. Subscription, billing, and free trial

4.1. 7-day free trial

Upon registration, you are entitled to one 7-consecutive-day free trial, no credit card required. During this period, you have access to the same catalog available to paying subscribers.

The free trial is limited to a single use per person. Abuse via multiple accounts to gain additional trials may result in termination of the affected accounts.

4.2. Modalities, plans, and billing cycles

Talkwcarina offers two subscription formats:

  • Private (1-on-1) classes: individual live classes with the teacher, including materials, access to the recorded library, and the support channels included in the plan.
  • Group classes: live classes in a small group, with the same benefits described above (materials, recorded library, and the support channels included in the plan).

Each format is offered in multiple plans, differentiated by the weekly frequency of live classes (for example, 1, 2, or 3 classes per week). Each plan can be contracted in one of three billing cycles:

  • Monthly: charged every 30 days, at the plan's full price.
  • Quarterly: charged every 3 months, with a 5% discount over the equivalent monthly price.
  • Semiannual: charged every 6 months, with a 10% discount over the equivalent monthly price.

In the quarterly and semiannual cycles, the full period total is charged upfront at the time of contracting, covering the entire period purchased.

The applicable prices are those shown on the plans page at the moment of contracting and confirmed in the receipt sent by Stripe. Applicable taxes, when any, are already included in the displayed prices.

Renewal is automatic at the end of each cycle, for the same plan and the same cycle contracted, unless canceled under Section 4.3.

Any price adjustments will comply with applicable law and will be announced at least 30 calendar days in advance, giving you time to cancel before the new price takes effect.

4.3. How to cancel

You can cancel the subscription at any time in "My account → Subscription" in the student portal. Cancellation stops auto-renewal: access remains available until the end of the already-paid cycle, with no additional charges.

4.4. Right of withdrawal (CDC Art. 49)

Because this is a distance purchase, you have the right to withdraw within 7 calendar days of contracting the paid subscription (excluding the free trial period). If exercised, we refund the full amount via Stripe using the same payment method used for billing.

4.5. Payment method

Payments are processed by Stripe. BuenOps does not store full card data. In case of an unjustified chargeback, we reserve the right to suspend the account until the matter is resolved.

5. Permitted use and prohibited use

5.1. Permitted use

  • Watch video lessons and use supporting materials for personal, non-commercial use;
  • Track your progress, notes, and preferences within the platform;
  • Interact with features such as Q&A, when available.

5.2. Prohibited use

  • Download, screen-record, redistribute, resell, or publicly share, in whole or in part, videos and materials from the platform;
  • Create derivative works, subtitles, transcripts, or adaptations without express written authorization;
  • Use Talkwcarina content to train AI models or automated systems of any kind;
  • Share credentials, transfer, or resell the account;
  • Use robots, scrapers, crawlers, or automation to access content;
  • Attempt to bypass technical access controls (signed URLs, DRM, authentication);
  • Engage in any activity that violates Brazilian law or third-party rights.

Violations may result in suspension or termination of the account, without prejudice to available legal remedies, including damages actions under the Copyright Law (Law 9.610/1998).

6. Intellectual property

All content on Talkwcarina (videos, audio, images, text, instructional materials, software, brand, logos, visual identity) is owned by BuenOps, by the teacher responsible for the content, or by licensed third parties, and is protected by the Brazilian Copyright Law (9.610/1998), the Industrial Property Law (9.279/1996), and related legislation.

Upon payment of the subscription, we grant you a personal, non-exclusive, non-transferable, revocable license limited to the active subscription period, to access and watch the content exclusively through Talkwcarina for personal, non-commercial use.

Nothing in these Terms transfers any intellectual-property right to you. Any use beyond the scope of this license requires prior written authorization.

7. User-generated content

If the platform offers features that let you submit content (answers to exercises, comments, questions, messages), you warrant that:

  • You own or have all necessary authorizations to submit the content;
  • The content does not infringe third-party rights or applicable law;
  • The content is not unlawful, offensive, discriminatory, sexually explicit, defamatory, or harmful.

You grant BuenOps a non-exclusive, royalty-free, worldwide license, limited to the time strictly necessary to operate the platform, to display your content to you and, when applicable, to the teacher responsible for the response, in strict compliance with the LGPD. This license does not authorize us to publish your content on external channels without specific consent.

We may remove content that violates these Terms or the law, at our discretion, with due process under the Marco Civil da Internet.

8. Service availability

We use reasonable efforts to keep the platform available, but we do not guarantee uninterrupted or error-free operation. The platform may experience scheduled interruptions for maintenance, updates, bug fixes, or due to events of force majeure.

Scheduled maintenance will, where possible, be announced with reasonable advance notice by email or in-platform notice. In emergency or incident situations, communication may happen in real time or shortly after resolution.

9. Suspension and termination

9.1. By the platform

We may suspend or terminate your account at any time, with no refund of already-paid installments, if we identify:

  • Violation of these Terms, the Privacy Policy, or applicable law;
  • Fraudulent or unlawful use, or use that compromises platform security;
  • Unresolved chargeback or delinquency;
  • Request from a competent authority.

In serious situations, suspension may be immediate. In less serious cases, we will notify you in advance so that you can address the issue.

9.2. By the user

You may terminate your account at any time via the "Delete account" page or support channels. Deletion is processed within 30 days and entails removal of personal data, subject to retention obligations described in the Privacy Policy.

10. Limitation of liability

BuenOps will use reasonable efforts to provide the platform with quality, security, and continuity. However, within the limits allowed by Brazilian law — notably the Consumer Protection Code — and without affecting statutory consumer guarantees:

  • The platform is not responsible for failures in your connection, devices, power, browsers, or third-party software;
  • The platform is not responsible for events of force majeure or fortuitous events, including cyberattacks beyond what is reasonably preventable;
  • To the extent permitted by law, BuenOps is not liable for indirect damages, lost profits, or loss of opportunity arising from the use of or inability to use the platform;
  • There is no guarantee of a specific learning outcome — progress depends on student engagement.

Nothing in these Terms limits the statutory guarantees of adequacy, suitability, safety, and quality provided by the Consumer Protection Code and applicable law.

11. Changes to these Terms

We may change these Terms to reflect legal, technical, or product changes. For material changes (those that substantively affect your rights or obligations), we will:

  1. Notify active users by email at least 30 calendar days in advance;
  2. Display a notice on the platform on the next authenticated access after the change takes effect;
  3. Update the "Last updated" date at the top of this page.

If you disagree with the changes, you may cancel your subscription and terminate the account before the new version takes effect, with no penalty. Continued use after the effective date constitutes acceptance.

12. Governing law and venue

These Terms are governed by the laws of the Federative Republic of Brazil, regardless of the country from which you access the platform.

Any dispute arising from these Terms shall be settled in the judicial district of [Cidade/UF do foro], with waiver of any other, however privileged, except for the consumer's right to choose the venue of their domicile under Art. 101, I, of the Consumer Protection Code.

13. Teacher payouts (Stripe Connect Express)

This section applies exclusively to users registered as teachers on Talkwcarina. By completing the teacher signup and Stripe Connect Express KYC, you confirm you have read and accepted the conditions below. The Portuguese-language version of these Terms is the binding version in case of any conflict.

13.1. Payout model

Every charge made by a student is a Stripe Connect Express destination charge against your connected account. Stripe automatically routes 90% of the principal amount to your Connect balance and 10% (application_fee_amount) to BuenOps' account, in a single transaction. BuenOps never takes custody of the student's payment at any point in the flow.

Payouts to your balance follow Stripe Connect Express's standard schedule for your country and account type, subject to Stripe's current policies.

13.2. Chargeback reserve

To protect the operation against chargebacks and post-payment disputes, BuenOps maintains a side reserve equal to 10% (ten percent) of the total received by the teacher over the trailing 30 (thirty) calendar days, on a rolling basis.

Mechanics: each new receivable adds 10% of its value to the reserve and holds it for 30 calendar days. After that window, if no chargeback, open dispute, or fraud flag has been raised against the corresponding charge, the amount is automatically released to the teacher's balance. Chargebacks during the 30-day window are debited from the reserve first, and from future teacher balances if the reserve is insufficient.

This reserve is a BuenOps operational policy and is not a Stripe-managed payout reserve. The calculation, retention, and release happen outside the Stripe automation, in BuenOps' monthly close. The reserve does not accrue interest and is not negotiable on a case-by-case basis.

13.3. NFSe issuance

For each charge received, the teacher is responsible for issuing an NFSe to the student for the lesson service provided (under destination-charge semantics the teacher is merchant of record for the principal). BuenOps issues a monthly aggregate NFSe to the teacher for the 10% application_fee_amount retained as platform revenue.

13.4. Teacher account closure or suspension

If the teacher account is closed (voluntarily or via suspension by BuenOps under Section 9), the remaining reserve is released after the end of the 30-day window of the last charge received, minus any pending chargeback or adjustment. Early releases happen only with BuenOps' express authorization after risk review.
